CPA Australia’s Annual General Meeting will be held on Wednesday 14 May 2025 at 5:30pm AEST. The Registration desk at the venue opens at 4:30pm AEST and online registration opens at 5.00pm AEST.

The AGM will be a hybrid meeting and will provide you with the opportunity to join regardless of your location. The physical venue for this year’s AGM will be at the offices of CPA Australia Ltd, Level 20, 28 Freshwater Place, Southbank, Victoria. Members will have the opportunity to join the AGM online here and can participate virtually in the AGM by following the instructions in the Notice of Meeting.

If you are a voting member, you may appoint a Member, non-member, director, or the Chair as your proxy to attend the meeting on your behalf and to ask questions. The person does not have to be a CPA Australia member.

You cannot appoint yourself as your proxy.

Please note that in accordance with Article 31 of the CPA Australia Constitution, a Member is not entitled to vote and therefore appoint a proxy, if any Fee or other amount payable to the Company in respect of that Member’s membership has not been paid and is more than three months overdue. This includes members who are yet to renew their membership for 2025. If you have a Fee or other amount due, you will need to contact us to arrange payment.

The appointed Proxy will need to register before entering the meeting or joining online. You will receive a summary of the proxy appointment from MUFG Corporate Markets (AU) Limited. To be valid, a Proxy form must be signed, and include the correct member number and member name and be lodged by 5:30pm AEST on Monday 12 May 2025. A proxy lodged electronically will be taken to have been signed if it is lodged in accordance with the instructions on the proxy lodgement website.

You can request a hard copy Proxy Form by emailing agm@cpaaustralia.com.au. Hard copy Proxy forms can then be submitted to MUFG Corporate Markets (AU) Limited by mail, fax or in person by 5:30pm AEST on Monday 12 May 2025. Please note, forms sent via mail must be received by MUFG Corporate Markets (AU) Limited by this date/time. Members should allow for longer than usual mail delivery times.

Members may wish to appoint a proxy to attend the AGM on their behalf and to ask questions.

If you are a Member registered in Australia, you will need to provide your Member number and the postcode registered to your membership. Members registered outside Australia will need to choose your country code from the drop-down menu to register to attend online once you have logged in.

Steps for Online Proxy Lodgement:

1. In the Member No. section, enter your Member Number.
2. Enter your country and postcode (within Australia only).
3. Please confirm your details to continue.
4. Follow the instructions on screen to appoint your proxy.
5. Please enter your email address if wish to receive a confirmation email for record before you submit your proxy.
6. You will now have completed appointing a proxy.

Details of how to submit hard copy forms are included on the document. All hard copy proxy forms must be submitted to and received by MUFG Corporate Markets (AU) Limited by mail, fax, or in person by 5:30pm AEST on Monday 12 May 2025.

Members are encouraged to complete their proxy form online here. However, if you would like a hard copy form you can request a hard copy Proxy Form by emailing agm@cpaaustralia.com.au.

All proxies must be lodged with MUFG Corporate Markets (AU) Limited by Monday 12 May 2025, 5:30pm AEST, 48 hours before the AGM. If your proxy has not been lodged 48 hours prior to the meeting it will not be valid.

If you have submitted a proxy 48 hours prior the meeting, and you then attend the AGM in person, your proxy will be removed from the system and your proxy will be unable to ask questions on your behalf during the meeting.

Everyone attending the AGM in person and online will need to register with MUFG Corporate Markets (AU) Limited before being able to enter the meeting. MUFG Corporate Markets (AU) Limited will be able to see in their system if a proxy has already been lodged by you, and the proxy will then be removed from the system and will not be able to ask questions on your behalf during the meeting.

MUFG Corporate Markets (AU) Limited is an external registry service that delivers services to assist organisations globally to meet the obligations that come with the public ownership of their companies. For CPA Australia, MUFG Corporate Markets (AU) Limited independently manages the distribution of the Notice of Meeting, lodgement of proxies and registration for the AGM.

You will need to register before entering the meeting or joining online. You will receive a summary of the proxy appointment from MUFG Corporate Markets (AU) Limited.

If a proxy, other than the Chair, cannot attend the meeting, the Chair will become the proxy. In this circumstance, the Chair will be directed by the voting preferences (if any) provided in the Proxy Form. Please refer to the Proxy Form and your Notice of Meeting for further details.

(NOTE there is no vote required at the 2025 AGM)

In most cases, people appoint someone they know and advise the person themselves. MUFG Corporate Markets (AU) Limited does not contact individuals who have been nominated as a proxy as the only information they receive is the nominated person’s name. Anyone can be appointed as a proxy; they do not have to be a CPA Australia member. For more information see the Notice of Meeting you have received.

When you register at the AGM, if you have been appointed by anyone as a proxy, you will receive a summary of the proxy appointment from MUFG Corporate Markets (AU) Limited.

Contact the member or members who appointed you to advise them that you cannot attend. If they were requesting that you ask questions on their behalf at the meeting, please advise them that they can submit their questions in advance, ask them at the AGM by text or by dialling in.

If a proxy, other than the Chair, cannot attend the meeting, the Chair will become the proxy. In this circumstance, the Chair will be directed by the voting preferences (if any) provided in the Proxy Form.

In the event of a vote (not applicable in 2025)

If you do not direct the Chair of the meeting how to vote on an item of business, or the Chair of the meeting becomes your proxy by default, then by submitting a proxy/nominee appointment you will be expressly authorising the Chair of the meeting to exercise your votes as an undirected proxy.

To register at the AGM at the venue, please bring your member number. Registration at the venue opens at 4:30pm AEST Wednesday 14 May 2025. Registration opens online at 5.00pm AEST. If you are a non-member or a proxy holder you will also be required to register to attend.

Non-Members are allowed to attend and observe the meeting and will be required to register as a guest in order to attend in person or online

Answers to questions:

• submitted for the AGM;
• asked at the AGM;
• taken on notice by the Chair at the AGM; and

• that are not addressed in the AGM, will be posted on our website.

Members as a whole will have a reasonable opportunity at the AGM to ask questions and make comments on the business, operations and management of the Company, and to ask questions of the Auditor or their representative including by completing the enclosed form, via text format on the online portal or by voice during the AGM.
