2020 AGM

QBANK has been closely monitoring Federal and State government guidance and ongoing developments in response to the COVID-19 pandemic.  In planning for the meeting, we have focused on ensuring the safety of our Members, Directors, staff and their families, as well as seeking to maximise the opportunity for Members to participate in the AGM.  Accordingly, this year, the Board has decided to hold the 2020 Annual General Meeting virtually.

The meeting will be held online at 10.30am (AEST) on Tuesday 17th November 2020 at https://agmlive.link/QBANK20Opens in new window. Members can access the Virtual Meeting site from 10am on 17th November 2020.

The Board considers the Annual General Meeting to be an important event on our calendar and we look forward to the opportunity to update you on our performance during the past year and answer any questions you may have.

Members attending the virtual Annual General Meeting will be able to hear and view the Annual General Meeting on their own devices, vote on the business of the Meeting and ask questions, and will be treated as if they were present at a physical meeting.

No proxy form is enclosed with the Notice of Meeting as there are no resolutions on which to vote. However, Members may appoint a proxy to attend the meeting on their behalf, and vote on any procedural resolutions that may be considered at the AGM. 2020 Director Elections


Currently the QBANK Board has five member-elected Directors and two board-appointed Directors. Two member-elected Directors’ terms will come to an end at the 2020 AGM – Mr Andy Henderson and Mr Dan Keating.

Each of these Directors have confirmed their intention to stand for re-election.

Each of these member-elected Director positions have been declared vacant by the Board for the purposes of the 2020 Director Elections and Members were invited to nominate for the position of member-elected Director.

No nominations for the position of Director were received by the closing date of 5:00 pm on Monday 21 September 2020.

Accordingly, as there are an equal number of vacancies and eligible candidates, the provisions of Clause A5-3 of the Constitution apply:

  • The election process otherwise set out in Appendix 5 (Election of Directors) is discontinued.
  • Each candidate will be appointed as an elected Director by announcement at the AGM.
