CPA Australia’s Annual General Meeting will be held on Thursday 16 May 2024 at 5:30pm AEST.  The Registration desk at the venue opens at 4:30pm AEST and online registration opens at 5.00pm AEST. 

The AGM will be a hybrid meeting and will provide you with the opportunity to join regardless of your location. The physical venue for this year’s AGM will be at the offices of CPA Australia Ltd, Level 20, 28 Freshwater Place, Southbank, Victoria. Members will have the opportunity to join the AGM online here and can participate virtually in the AGM by following the instructions in the Notice of Meeting.

If you are a voting member, you may appoint a Member, non-member, director, or the Chair as your proxy to attend the meeting on your behalf and to ask questions. The person does not have to be a CPA Australia member.

You cannot appoint yourself as your proxy.

Please note that in accordance with Article 31 of the CPA Australia Constitution, a Member is not entitled to vote and therefore appoint a proxy, if any Fee or other amount payable to the Company in respect of that Member’s membership has not been paid and is more than three months overdue. This includes members who are yet to renew their membership for 2024. If you have a Fee or other amount due, you will need to contact us to arrange payment.

The appointed Proxy will need to register before entering the meeting or joining online. You will receive a summary of the proxy appointment from Link Market Services. To be valid, a Proxy form must be signed, and include the correct member number and member name and be lodged by 5:30pm AEST on Tuesday 14 May 2024. A proxy lodged electronically will be taken to have been signed if it is lodged in accordance with the instructions on the proxy lodgement website.

Members can complete their proxy form online at here, or they can complete a hard copy and submit it to Link Market Service by mail, fax or in person by 5:30pm AEST on Tuesday 14 May 2024. Please note, forms sent via mail must be received by Link Market Service by this date/time. Members should allow for longer than usual mail delivery times. 

Members may wish to appoint a proxy to attend the AGM on their behalf and to ask questions.

Registration is required for Members to attend the AGM in person or by proxy. Registration will open from 4.30pm (AEST) at the venue or from 5:00pm (AEST) online. If you are a Member registered in Australia, you will need to provide your Member number and the postcode registered to your membership. Members registered outside Australia will need to choose your country code from the drop-down menu to register to attend online once you have logged in.

Steps for Online Proxy Lodgement:

1. In the Member No. section, enter your Member Number.
2. Enter your country and postcode (within Australia only).
3. Please confirm your details to continue.
4. Follow the instructions on screen to appoint your proxy.
5. Please enter your email address if wish to receive a confirmation email for record before you submit your proxy.
6. You will now have completed appointing a proxy.

Details of how to submit hard copy forms are included on the document. All hard copy proxy forms must be submitted to and received by Link Market Services by mail, fax, or in person by 5:30pm AEST on Tuesday 14 May 2024. 

If you elected to receive your AGM pack via post, a hard copy proxy form will have been sent to you.   

However, you can also view a copy of the Notice of Meeting on this site at the NOTICE OF MEETING tab and can lodge your proxy online. 

Members are encouraged to complete their proxy form online here. However, if you would like a hard copy form you can contact Link Market Services. Alternatively, printed copies will be available in CPA Australia offices.

No. All proxies must be lodged with Link Market Services by Tuesday 14 May 2024, 5:30pm AEST, 48 hours before the AGM. If your proxy has not been lodged 48 hours prior to the meeting it will not be valid. 

If you have submitted a proxy 48 hours prior the meeting, and you then attend the AGM in person, your proxy will be removed from the system. If your appointed proxy is not a member of CPA Australia, they will not be able to enter the meeting or ask questions on your behalf during the meeting.

Everyone attending the AGM in person and online will need to register with Link Market Services before being able to enter the meeting. Link Market Services will be able to see in their system if a proxy has already been lodged by you, and the proxy will then be removed from the system. If your appointed proxy is not a member of CPA Australia, they will not be able to enter the meeting or ask questions on your behalf during the meeting.

Link Market Services is an external registry service that delivers services to assist organisations globally to meet the obligations that come with the public ownership of their companies. For CPA Australia, Link Market Services independently manages the distribution of the Notice of Meeting, lodgement of proxies and registration for the AGM. 

You will need to register before entering the meeting or joining online. You will receive a summary of the proxy appointment from Link Market Services.

If a proxy, other than the Chair, cannot attend the meeting, the Chair will become the proxy. In this circumstance, the Chair will be directed by the voting preferences (if any) provided in the Proxy Form. Please refer to the Proxy Form enclosed with your Notice of Meeting and your Notice of Meeting for further details. 

In most cases, people appoint someone they know and advise the person themselves. Link Market Services does not contact individuals who have been nominated as a proxy as the only information they receive is the nominated person’s name. Anyone can be appointed as a proxy; they do not have to be a CPA Australia member. For more information see the Proxy form enclosed with the Notice of Meeting and the Notice of Meeting you have received. 

When you register at the AGM, if you have been appointed by anyone as a proxy, you will receive a summary of the proxy appointment from Link Market Services.
 

Contact the member or members who appointed you to advise them that you cannot attend. If they were requesting that you ask questions on their behalf at the meeting, please advise them that they can submit their questions in advance, ask them at the AGM by text or by dialling in.

If a proxy, other than the Chair, cannot attend the meeting, the Chair will become the proxy. In this circumstance, the Chair will be directed by the voting preferences (if any) provided in the Proxy Form.

If you do not direct the Chair of the meeting how to vote on an item of business, or the Chair of the meeting becomes your proxy by default, then by submitting a proxy/nominee appointment you will be expressly authorising the Chair of the meeting to exercise your votes as an undirected proxy.

Yes. Please note in accordance with Article 31 of the Constitution, your proxy’s authority to speak will be suspended while you are present at the meeting.

To register at the AGM at the venue, please bring your member number and photo ID. Registration at the venue opens at 4:30pm AEST Thursday 16 May 2024. Registration opens online at 5.00pm AEST. If you are a non-member who is a proxy holder you will also require photo ID.

Non-members are not able to attend the meeting unless they have been appointed by a member as their proxy. 

However, in circumstances where a member with special  needs requires a person to support them at the meeting, this person can attend as a visitor. Visitors are not able to vote or address the meeting.

Members as a whole will have a reasonable opportunity at the AGM to ask questions and make comments on the business, operations and management of the Company, and to ask questions of the Auditor or their representative including by completing the enclosed form, via text format on the online portal or by dialling in during the AGM.

Yes. Members who cannot attend the meeting and would like to ask a question can register to ask a question online, either by text or by voice over the phone. Please refer to the Online Question Guide on the Webcast AGM page for instructions on how to do this.
